Acquisition offer ended successfully

Following the end of the acquisition offer period of Wüstenrot & Württembergische AG (W&W), which was issued to the shareholders of Württembergische Lebensversicherung AG (WürttLeben), the acceptance rate has now been determined: 99.58 per cent of the shareholders made use of the offer made by W&W AG to buy back their WürttLeben shares. This represents nearly 1.4 million WürttLeben shares and substantiates the strong response to the offer.

On 10 December 2014, Württembergische Lebensversicherung AG announced that it would apply to the Baden-Württembergische Wertpapierbörse in Stuttgart for a delisting of its shares from the regulated market. The exchange has now approved this application and revoked the listing. The revocation will take effect at the end of the day on 7 July 2015. The reason for the decision to delist is that the economic benefits of having Württembergische Lebensversicherung AG listed on the exchange no longer justify the effort and expense associated with this. In connection with the delisting, W&W AG made a voluntary public tender offer to the minority shareholders of its subsidiary to purchase their shares. W&W AG holds nearly 95 per cent of the shares in Württembergische Lebensversicherung AG, the free float amounts to around 5 per cent.
